We recently announced exciting news: Rudolph Research Analytical Inc. (“Rudolph Research Analytical”) has completed its purchase and acquisition of Baddley Chemicals, Inc.’s (“Baddley Chemicals”) rights, title, and interest in all of the assets, properties and rights required to manufacture and sell Octapol®, Octapol Clarifying Reagent, Octapol Black® (formerly Octapol Plus®), and Octapol Red (collectively, “Octapol”). As of March 30th, 2022, Baddley Chemical and Octapol are now owned, manufactured, and distributed exclusively by Rudolph Research Analytical.  The acquisition included the purchase of all Octapol related vendor and supplier agreements. The transaction was finalized pursuant to an Asset Purchase Agreement dated March 31st, 2022, by and among Baddley Chemicals, a Louisiana corporation, William H. Baddley (“Bill”) and Gwyneth Baddley (“Gwyn”), and Rudolph Research Analytical, a New Jersey corporation. Additionally, Rudolph Research Analytical also acquired all of Baddley Chemical’s intellectual property rights, trade secrets, domain name, and proprietary information relating to Octapol pursuant to a related Intellectual Property Assignment Agreement dated March 31, 2022. Copies of the Asset Purchase Agreement and Intellectual Property Assignment Agreement cannot be disclosed for confidentiality purposes. However, rest assured that this combination makes our company even better able to serve customers and compete in the global marketplace.

 

Bill and Gwyn announced the transaction on the Baddley Chemicals website, www.baddley.com, which contains a link that directs you to our company’s website, www.rudolphresearch.com. The transaction symbolizes our intention to broaden our business platform and deliver more value to our customers.

 

We are excited about what Rudolph Research Analytical’s purchase of Baddley Chemicals has to offer:

 

• A Distinguished Portfolio of Products and Services – Customers will still have access to the same quality Octapol products as well as a wider array of our high-quality products and services.

• Innovation – Our investments in product innovation, new businesses, and service lines will increase significantly.

 

We have already started to integrate the companies. That said, nothing changes for you immediately. All existing vendor/supplier agreements and purchase orders with Baddley Chemicals and Rudolph Research Analytical remain in place, and your contacts at our company can be certified by Bill and Gwyn. In the near term, you will continue to work with us exactly as you worked with Baddley Chemicals in the past.
